1. Agreement to Terms
By accessing or using SocialAmp ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
SocialAmp is a professional networking platform that connects users in curated engagement groups to help amplify their social media presence. Members are placed in groups of up to 48 professionals who support each other's content through authentic engagement.
3. Eligibility
You must be at least 18 years old to use this Service. By using SocialAmp, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
4. Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
5. Subscription and Payment
SocialAmp offers paid subscription plans. By subscribing, you agree to:
- Pay all fees associated with your subscription plan ($19.90/month per group)
- Authorize us to charge your payment method on a recurring basis
- Provide accurate billing information
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
Price Changes: We reserve the right to change subscription prices with 30 days' notice.
6. Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose
- Harass, abuse, or harm other users
- Share spam, malware, or malicious content
- Impersonate others or misrepresent your affiliation
- Attempt to gain unauthorized access to any part of the Service
- Use bots, scrapers, or automated tools without permission
- Interfere with or disrupt the Service
- Share content that is defamatory, obscene, or infringes on others' rights
- Engage in any activity that violates LinkedIn's or other platforms' terms of service
- Use fake engagement, bots, or artificial inflation tactics
7. Group Participation
As a member of engagement groups, you agree to:
- Participate authentically and in good faith
- Engage meaningfully with other members' content
- Respect other members and maintain professional conduct
- Not share confidential group discussions outside the group
- Accept periodic group rotations as part of the Service
We reserve the right to remove members who fail to participate or violate community guidelines.
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by SocialAmp and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you post. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.
9. Third-Party Services
Our Service integrates with third-party platforms including LinkedIn. Your use of these integrations is subject to those platforms' terms of service. We are not responsible for third-party services or their actions.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE, INCLUDING INCREASED ENGAGEMENT, FOLLOWERS, OR VISIBILITY ON SOCIAL MEDIA PLATFORMS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALAMP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless SocialAmp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
13. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.
You may terminate your account at any time by contacting us or using the account deletion feature in settings.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
15. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property matters.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
